Terms of Service
Effective date: 2nd September 2026
These Terms of Service ("Terms", "TOS") govern your access to and use of Spark — including the website, mobile sites, mobile applications, and any other services, features or content made available by PRIXEL LABS through the Spark platform (collectively, the "Platform" or the "Services"). These Terms form an agreement between you ("you", "your", "User") and PRIXEL LABS, a sole proprietorship registered and operating in India with registered office at 4th Floor, 648/A, Om Chambers, Old Binnamangala Road, Indiranagar, Bengaluru, Karnataka — 560008, India.

These Terms are drafted with reference to applicable laws and guidelines (for example, the Information Technology Act, 2000 and the rules issued thereunder) and set out the rules that apply to your use of the Platform. No physical or digital signature is required to make these Terms effective — acceptance by clicking an "I AGREE" button, by booking a class, or by using the Services will bind you to them.
1. Acceptance of the Terms
By accessing or using the Platform or any portion of the Services you indicate that you have read, understood, and agree to be bound by these Terms, the Privacy Policy and the Cancellation & Refund Policy (together, the "Policies").
Spark teaches school children. An Account is therefore always opened and held by a parent or legal guardian on behalf of the child. To accept these Terms you must: (a) be of majority age in your jurisdiction (at least 18 years old in India unless the age of majority in your jurisdiction is different); (b) be the parent or legal guardian of the child for whom the Account is opened, and consent on that child’s behalf; (c) provide accurate and truthful registration information; and (d) not be restricted by PRIXEL LABS from using the Services.
PRIXEL LABS may modify these Terms at any time in its sole discretion. The most current version of the Terms will be posted on the Platform and, where required, a notice will be provided. Your continued use of the Services after modifications are posted constitutes acceptance of the modified Terms. If you do not accept the modified Terms, you must stop using the Platform and, if applicable, terminate your Account by contacting support@prixellabs.com.
2. Description of Services
Spark provides AI-led tutoring in Maths and Science for school students. Lessons are taught on a live board that draws while it explains, the student can raise a hand and ask a question mid-lesson, and the explanations and examples are adapted to the student’s education board, class and chosen interests ("Services").
The teaching is generated by algorithmic and editorial processes. PRIXEL LABS makes a sincere effort to align the content with the syllabus of the education board you select, but does not warrant that the content is complete, error-free, or identical to any board’s prescribed material. Spark supplements a child’s schooling; it does not replace a school, a school teacher, or a prescribed textbook.
No guarantee of results. PRIXEL LABS does not promise, and you must not assume, any particular academic outcome — marks, grades, ranks, examination results or admissions. Learning outcomes depend on many factors outside our control.
No professional advice. PRIXEL LABS does not provide medical, psychological, financial, legal, career or other professional advice. If you require such services, you should consult a qualified professional. PRIXEL LABS expressly disclaims any liability for decisions you make based on the Services or any content provided on the Platform. You assume full responsibility for actions taken based on the Services.
Adult supervision. You are responsible for supervising your child’s use of the Platform and for the device, internet connection and environment in which classes are taken.
3. Additional Policies
In addition to these Terms, your use of the Platform is subject to the Privacy Policy, the Cancellation & Refund Policy, and any other policies posted on the Platform (collectively, "Policies"). The most current Policies govern and replace prior versions. If you object to any change in the Policies you must stop using the Platform and may terminate your Account by writing to support@prixellabs.com.
4. Representations and Warranties by You
You have legal capacity and agree to comply with these Terms.
All information you provide is true, accurate, current and complete.
Your use of the Services is lawful in your jurisdiction.
You are at least 18 years old (or of legal age in your jurisdiction).
You are the parent or legal guardian of the child for whom you register, and you are authorised to consent on that child’s behalf.
You have the physical and mental capacity to consent to electronic contracts.
If you provide information that is untrue, inaccurate, not current or incomplete, PRIXEL LABS reserves the right to suspend or terminate your Account and refuse current and future access to the Platform.
5. Registration and Onboarding
The Platform offers both Free Services and Paid Services (collectively, "Services"). Free Services, including the first free class, may be available with minimal registration; access to the continuing subscription requires registration and an Account.
To book the free class you complete the online sign-up process: you tell us the child’s name and your phone number, the education board, the class, and a few interests, and you register a UPI Autopay mandate. After collecting your information we will create an account ("Account") to allow you to use the Platform and the Services.
You are permitted only one Account per child, and it must contain accurate information. Accounts that violate these rules may be suspended or terminated.
Credentials. You will be provided with credentials for access ("Credentials"). You are responsible for maintaining the confidentiality of your Credentials and for all activities that occur under your Account, including those of your child. If you become aware of unauthorized use, you must notify us immediately at support@prixellabs.com.
Communications. By creating an Account you consent to receive communications (emails, SMS, WhatsApp, in-app notifications, calls) from PRIXEL LABS, including class reminders and updates on your child’s progress. You may opt out of marketing communications per the instructions in those communications; account-related and class-related notices may still be sent.
Competitors. Representatives of competitors are not permitted to register or use the Platform unless explicitly authorized in writing by PRIXEL LABS.
Disabling or closing your Account. You may request account deactivation or closure by writing to support@prixellabs.com. Upon deactivation you will lose access to the Services.
Special consumer rights. Where applicable and required by local laws, certain cancellation and refund rights apply in addition to those set out in our Cancellation & Refund Policy — including a right for subscribers in certain U.S. states to cancel without penalty prior to midnight of the third (3rd) business day following the date of subscription, and a right for subscribers resident in the European Union or European Economic Area to a full refund within fourteen (14) days from the commencement of the subscription. Refund eligibility and handling for purchases made via third-party app stores (Apple App Store, Google Play) may be governed by those third parties’ rules.
6. License to Use the Platform
Subject to your compliance with these Terms, PRIXEL LABS grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable, personal license to access and use the Platform for the personal, non-commercial learning of the child named in your Account only. You shall not share your Account access or Credentials with others, and the Account may not be used to teach children other than the one it was registered for.
7. Usage of Information
The information collected by the Platform may be used for purposes permitted under applicable law, including but not limited to:
Providing and personalising your child’s classes on the Platform;
Research and analytics to improve the Services and the teaching;
Contacting you with service-related messages, class reminders, progress updates and promotional communications (where permitted);
Using cookies, device identifiers and related technologies to remember preferences, provide personalized content, analyze usage and diagnose technical issues;
Retaining information where necessary to comply with legal obligations, tax rules, or for evidentiary purposes.
PRIXEL LABS may use third-party analytics and other service providers to assist in measuring traffic and usage trends. Such tools typically collect anonymized logs and non-sensitive device data. For details on how we collect, use and share personal data, please review our Privacy Policy.
8. Services Fees, Payments and Refunds
The free class. Your child’s first class is free. No subscription fee is charged before it.
Registration of the mandate. To book the free class you register a UPI Autopay mandate, which involves a one-time debit of ₹1 (Indian Rupee One). This debit exists to verify and register the mandate with your bank; it is not a subscription fee and is not adjusted against the subscription.
Subscription. If you choose to continue after the free class, the subscription is ₹299 per month, debited on the registered UPI Autopay mandate. Access begins when you choose to continue; the debit is presented to your bank shortly thereafter. Fees are subject to change, and any change will be communicated to you in advance as required by law.
Payment Methods. Payments may be made via the methods available on the Platform (UPI Autopay, credit card, debit card, net banking, wallets, etc.). The payment facilitation is provided for convenience and PRIXEL LABS is not a bank; payment processing is handled by authorized payment gateways and financial institutions.
You warrant that any card or account used to make payments is lawfully yours, that you will provide accurate payment details, and that you will maintain sufficient funds or credit.
Currency. Transactions will be processed in Indian Rupees (INR) as indicated on the Platform. Other currencies are not accepted unless explicitly stated.
Cancellations and refunds. Cancellation of the subscription, revocation of the mandate, and the circumstances in which a refund is available are governed by our Cancellation & Refund Policy, which forms part of these Terms. Where a refund is required by applicable law or by the rules of the app store through which you purchased, PRIXEL LABS will coordinate with the relevant payment processor or app store.
Taxes. You are responsible for any taxes applicable to your purchases. Where PRIXEL LABS is required to collect or remit taxes, such amounts may be invoiced to you.
9. Availability of Services
Access to all or any part of the Services may be limited or unavailable at times due to geographic limitations, legal prohibitions, technical issues, maintenance, or other causes beyond PRIXEL LABS’s control. PRIXEL LABS does not guarantee continuous, uninterrupted, or error-free access.
10. Platform Content and Intellectual Property
Ownership. Unless otherwise indicated, all Platform content (source code, databases, functionality, software, designs, lessons, boards, text, audio, video, images, graphics and trademarks) (collectively, "Content" and "Marks") is owned or licensed by PRIXEL LABS and is protected by applicable intellectual property laws.
Use Restrictions. You may not copy, reproduce, distribute, publicly display, record, broadcast, modify, reverse engineer, decompile, disassemble, create derivative works of, or otherwise exploit the Content except as expressly permitted by PRIXEL LABS. Lessons may not be recorded or redistributed, and may not be used to teach any child other than the one named in your Account.
Downloads. PRIXEL LABS makes no warranty that downloadable files will be free from viruses or other harmful code.
Remedies. Unauthorized use of the Content may result in legal action and claims for damages.
11. Platform Management
PRIXEL LABS reserves the right, but not the obligation, to:
Monitor the Platform for compliance with these Terms;
Take legal action against anyone it reasonably believes violates the law or these Terms (including reporting to law enforcement);
Refuse, restrict, or disable access to or availability of any Services or content, in whole or in part;
Remove or disable files and content that are excessive in size or burdensome to systems; and
Otherwise manage the Platform to protect its rights and property and to ensure proper functioning.
12. Third-Party Applications and Links
The Platform may integrate with third-party applications and services, including payment gateways and app stores. Accessing or using third-party applications may require acceptance of separate terms and privacy policies ("Third Party Terms"). PRIXEL LABS is not responsible for third-party content or policies. PRIXEL LABS may, in its discretion, suspend or remove access to any Third Party Application without liability.
13. Prohibited Activities
You agree not to use the Platform to:
Systematically scrape, harvest, or compile lessons or data from the Platform to create a competing database, course or directory without written permission;
Defraud, mislead, or impersonate other users or PRIXEL LABS;
Circumvent or interfere with security features of the Platform, copy-protection mechanisms, or usage limits;
Harass, abuse, threaten, or harm other persons;
Upload or transmit viruses, malware, or other malicious code;
Automate interactions with the Platform (bots, scrapers, scripts) without express authorization;
Advertise or sell goods or services without PRIXEL LABS’ consent;
Remove or alter any copyright, trademark, or other proprietary notices;
Reverse engineer, decompile, or attempt to derive source code from the Platform;
Use the Platform to compete with PRIXEL LABS or for any commercial exploitation, including coaching or tuition delivered to others, except as expressly permitted.
14. Privacy Policy
PRIXEL LABS cares about data privacy and security, and particularly about the privacy of the children who learn on the Platform. Your use of the Platform is subject to the Privacy Policy posted on the Platform, which is incorporated into these Terms. The Platform is hosted in India; if you access the Platform from other jurisdictions, you agree to the cross-border transfer and processing of your information in India. 15. Disclaimer and Limitation of Liability
Disclaimer. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PRIXEL LABS makes no warranties of merchantability, fitness for a particular purpose, or non-infringement, and does not warrant uninterrupted or secure access, or that the teaching will be free of error or omission.
No professional advice or guaranteed outcomes. The Services are not a substitute for school or for professional guidance, and no academic result is promised. PRIXEL LABS bears no responsibility for decisions you make based on the Services.
Limitation of Liability. PRIXEL LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, OR BUSINESS INTERRUPTION arising from use of the Platform. Total liability caps at the amounts paid by you in the preceding six months, or INR 5,000 if none.
Certain jurisdictions do not allow the exclusion of certain warranties or limitations of liability; in such jurisdictions, some of the above limitations may not apply to you.
16. Indemnity
You agree to indemnify, defend and hold harmless PRIXEL LABS and its officers, proprietors, employees, agents, affiliates and partners from and against any claims, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of applicable law; (c) your or your child’s use of the Platform; or (d) your violation of another party’s rights.
17. Force Majeure
PRIXEL LABS will not be liable for any failure to perform obligations under these Terms where such failure is caused by a Force Majeure event — an event beyond PRIXEL LABS’s reasonable control — including but not limited to natural disasters, strikes, acts of government, internet or telecommunications outages, acts of third parties, epidemics, pandemics, or other unforeseeable circumstances. During any such event, PRIXEL LABS’s obligations will be suspended for the duration of the event.
18. Miscellaneous
Modification of Terms. PRIXEL LABS may modify these Terms and will notify you in accordance with the notice provision in these Terms. If changes materially affect your rights, PRIXEL LABS will provide reasonable notice. Continued use after such notice constitutes acceptance.
Remedies and Enforcement. Any violation of these Terms may result in suspension, termination and legal action. In the event of termination for breach, you will not receive any refund unless required by applicable law.
No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and PRIXEL LABS.
Legal Compliance. PRIXEL LABS will comply with lawful requests by law enforcement and governmental authorities and may disclose user information as required by law.
Assignment. You may not assign your rights or obligations under these Terms without PRIXEL LABS’s prior written consent. PRIXEL LABS may subcontract or assign its rights and obligations.
Equitable Relief. You acknowledge that a breach of certain obligations (e.g. misuse of intellectual property or Confidential Information) may cause irreparable harm to PRIXEL LABS and that monetary damages may be inadequate. PRIXEL LABS may seek injunctive or equitable relief in addition to other remedies.
Severability and Waiver. If any provision is held invalid or unenforceable, the remainder of the Terms will remain in force. Failure to enforce any provision is not a waiver of future enforcement.
19. Dispute Resolution; Governing Law; Jurisdiction
Governing Law. These Terms and any dispute arising from or related to them shall be governed by and construed in accordance with the laws of India.
Arbitration. Any claim, dispute or controversy arising out of or relating to these Terms (including their formation, performance, breach, termination or invalidity) shall be referred to and finally resolved by arbitration administered in accordance with the Indian Arbitration and Conciliation Act, 1996 (or any statutory modification or re-enactment thereof). The seat (venue) of arbitration shall be Bengaluru, India, and the arbitration shall be conducted in the English language. The decision of the arbitrator(s) shall be final and binding on the parties.
Courts. Notwithstanding the arbitration clause above, if a party seeks injunctive or other equitable relief, it may do so in a court of competent jurisdiction. Subject to mandatory arbitration provisions, the courts at Bengaluru shall have exclusive jurisdiction over any disputes that are not arbitrable.
20. Grievance Redressal
In accordance with applicable Indian laws (including the Information Technology Act, 2000 and the rules thereunder), PRIXEL LABS has designated a Grievance Officer to handle user complaints, concerns and redressal requests.

21. Consumer and Regional Rights
Where local consumer protection laws provide additional rights (for example, specific cancellation or refund rights for customers in certain jurisdictions), those laws will govern to the extent they cannot be waived by contract. For purchases made via third-party app stores (Apple App Store, Google Play Store), refunds and cancellation rights may be subject to those third parties’ separate terms.
22. Entire Agreement
These Terms, together with the Privacy Policy, the Cancellation & Refund Policy and other documents expressly incorporated herein, constitute the entire agreement between you and PRIXEL LABS regarding the Platform and supersede any prior agreements between you and PRIXEL LABS.
